Terms of Service

1. Acceptance of Terms

FlipOS (the "Service") is operated by One Realm Holdings LLC, a Delaware limited liability company ("FlipOS," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

FlipOS is a software platform designed for real estate investors and property flippers. It provides tools for deal tracking, contact management, project planning, budget monitoring, design palette creation, and related workflows. The Service is currently in pre-launch and access is limited to waitlist members and invited users.

3. Eligibility

You must be at least 18 years of age to use FlipOS. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

4. User Accounts

When you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. FlipOS is not liable for any loss or damage arising from your failure to protect your account credentials.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Transmit any content that is unlawful, harmful, or fraudulent.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to send unsolicited communications or spam.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Create an account under a false identity, alias, or on behalf of another person without their authorization.
  • Access the Service for the purpose of competitive intelligence gathering, benchmarking, or copying product features, workflows, or design on behalf of a competing business.

6. Subscription Plans, Usage Limits & Fair Use

The Service is offered under subscription plans, and may include a time-limited free trial. Each plan includes usage limits and quotas. These currently include, without limitation, the number of active projects and deals, the number of team member seats, the number of AI-generated images (e.g., virtual staging), and the number of distinct properties for which you may generate comparable-sales ("comp") reports. The specific limits applicable to each plan are described on our Pricing page and within the Service, and may differ between trial and paid plans.

Certain features rely on paid third-party data providers and are metered. In particular, comp reports are limited to a set number of distinct properties per billing period, per workspace; re-generating a report for a property your workspace has already analyzed does not count again toward that limit. Trial workspaces receive reduced allowances for these metered features.

To protect the Service and its underlying costs, we apply rate limits and may throttle, queue, or temporarily block requests that exceed reasonable usage. We may also suspend, limit, or terminate accounts that engage in automated scraping, bulk extraction, resale or redistribution of data (including comp, valuation, or property data), credential sharing, or any other excessive or abusive use, as determined in our reasonable discretion.

We may change plan limits, introduce new limits, or adjust metered allowances at any time. When you reach a plan limit, certain actions may be unavailable until you upgrade your plan or the next billing period begins. Material changes to limits will be reflected on the Pricing page or within the Service.

7. Billing, Subscriptions & Renewals

Paid plans are sold as subscriptions billed in advance on a recurring basis (monthly or annual, as you select) through our third-party payment processor. By starting a paid subscription, you authorize us and our processor to charge your designated payment method for the applicable subscription fees, plus any applicable taxes, for each billing period.

Automatic renewal. Your subscription will automatically renew at the end of each billing period at the then-current rate, and your payment method will be charged, unless you cancel before the renewal date. Free trials. If we offer a free trial, it converts to a paid subscription at the end of the trial period unless you cancel before it ends; we may require a valid payment method to begin a trial.

Cancellation. You may cancel at any time from Settings → Billing or the customer billing portal. Cancellation stops future renewals and takes effect at the end of your current billing period; you retain access to paid features until then. Refunds. Except where required by applicable law, fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused allowances, or downgrades.

Price changes. We may change subscription prices or the features included in a plan. We will provide reasonable notice, and changes take effect on your next renewal; your continued use after the change takes effect constitutes acceptance. Failed payments. If a charge fails, we may retry the charge and may suspend, downgrade, or restrict your account until payment is resolved. Fees are exclusive of taxes, and you are responsible for any applicable sales, use, or similar taxes.

8. Your Content

You retain ownership of the data, files, images, and other content you submit to the Service ("Your Content"). You grant FlipOS a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Your Content solely to operate, maintain, secure, support, and improve the Service and to make it available to you and the other authorized users in your workspace. This license ends when Your Content is deleted, except for residual copies in routine backups retained for a limited period.

You represent that you have the rights necessary to submit Your Content and that it does not violate any law or the rights of any third party. You are responsible for maintaining your own copies of important data; while we take reasonable measures to protect it, we are not responsible for any loss or corruption of Your Content.

9. Feedback

If you choose to send us feedback, ideas, or suggestions about the Service, you grant FlipOS an unrestricted, perpetual, irrevocable, royalty-free right to use, reproduce, and incorporate them into the Service or our business without any obligation, attribution, or compensation to you.

10. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of FlipOS and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of FlipOS. Except for the rights granted to you to use the Service under these Terms, no other rights are granted.

11. Copyright Complaints

We respect the intellectual property of others and respond to clear notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA"). If you believe content on the Service infringes your copyright, please send a notice containing the information required by the DMCA to our designated agent at copyright@myflipos.com. We may remove allegedly infringing content and may terminate the accounts of repeat infringers.

12. Third-Party Services & Data

The Service may incorporate or rely on third-party data sources, service providers, and integrations. Where you choose to connect a third-party service to your account, your use of that service is also subject to that third party's own terms. Data, valuations, estimates, maps, and other information surfaced through the Service may originate from third-party sources and are provided for informational purposes only. FlipOS does not guarantee, and is not responsible for, the accuracy, completeness, timeliness, availability, or conduct of any third-party service or data source.

13. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using FlipOS, you consent to the collection and use of information as described in that policy.

14. Service Availability & Modifications

We may modify, update, suspend, or discontinue the Service or any feature, in whole or in part, at any time, with or without notice. We do not guarantee that the Service will be available uninterrupted, and we may perform scheduled or emergency maintenance. To the fullest extent permitted by law, we will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service or any feature.

15. Disclaimers

FlipOS is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Nothing in the Service constitutes financial, investment, legal, or real estate advice. All deal analysis tools are for informational purposes only.

16. Limitation of Liability

To the fullest extent permitted by law, FlipOS and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claims under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless FlipOS and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Content, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

18. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may stop using the Service and cancel your subscription at any time. Upon termination, your right to use the Service will immediately cease; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

20. Dispute Resolution; Arbitration & Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have disputes decided by a jury or as part of a class action.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by sending a written description to legal@myflipos.com. If we cannot resolve it within 30 days, either party may proceed to arbitration as set out below.

Binding arbitration. Except for the excluded claims below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, rather than in court, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitration will be conducted in the English language, and may proceed by videoconference, by telephone, or in writing where permitted by the rules. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. You and FlipOS agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

Excluded claims. Either party may (1) bring an individual claim in small-claims court if it qualifies, and (2) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misuse of intellectual property or confidential information.

Your right to opt out. You may opt out of this Dispute Resolution section within 30 days of first accepting these Terms by emailing legal@myflipos.com with your name, account email, and a statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

If the class action waiver above is found to be unenforceable as to a particular claim, that claim (and only that claim) will be severed and brought in court, while all other claims will remain in arbitration. If the entire arbitration agreement is found unenforceable, the Governing Law section will apply.

21. Electronic Communications

By using the Service, you consent to receive communications from us electronically, including by email and in-app notices, and you agree that such communications satisfy any legal requirement that a communication be in writing. Transactional and account-related messages are part of the Service and cannot be opted out of; you may unsubscribe from marketing emails at any time.

22. General

These Terms, together with the Privacy Policy and any plan or order details, constitute the entire agreement between you and FlipOS regarding the Service and supersede any prior agreements. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later.

23. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
